Terms and Conditions

Effective September 22, 2026

These terms cover two things: using this website, and working with First-Rate Tech Corp. (“First-Rate Tech”, “I”, “we”). First-Rate Tech Corp. is a corporation registered in Wyoming with its office at 2825 3rd Ave, 3rd Floor, Bronx, NY 10455. By using this site or hiring us, you agree to these terms.

1. What we do

First-Rate Tech builds and fixes websites, Shopify stores, automations and business software, and helps launch websites clients have built themselves. Every engagement is described in a written scope that says what is included, what is not, what it costs, and when it is expected to be done. The website describes typical projects and prices; the written scope for your project is what applies.

2. Scope and price

Work starts after you approve a written scope and price. Prices on this website (for example, a website tune-up, a busywork audit, a single automation, or the field service software license and implementation) are the standard prices for the work described there. If your project needs something different, the scope says so and the price is agreed before work begins.

Changes to the scope after approval are agreed in writing, with any change in price or timing, before the extra work is done. Work outside the scope is not started without your approval.

3. Payment

Payment terms are stated in each scope. Unless the scope says otherwise, projects are invoiced 50% to start and 50% on delivery. Fixed-price items that are paid in full up front, such as the website tune-up, are invoiced after the scope is agreed. Where a fee is described as credited toward a later build (for example, the busywork audit), the credit applies when you approve that build.

Invoices are due on the date they state. We may pause work on overdue accounts until payment is received. Fees paid for work already performed are not refundable.

4. Third-party services and running costs

Hosting, domains, apps, messaging, AI usage, payment processing, developer accounts, registration fees and similar services are provided by third parties. They are set up in accounts your company controls and billed by those providers directly to you. We explain these costs before you buy. Their terms and availability are set by those providers, not by us.

5. Ownership

You own what you paid for. Domain names, hosting, content, data and connected accounts are created in, or transferred to, your company's name. Custom code delivered as part of your project is yours on final payment, with a documented handoff.

Field service software is delivered under a perpetual license to your company, with source code, for use within your business. There are no recurring First-Rate Tech license fees and no per-user fees. The license does not permit reselling the software as a product to others.

Where a deliverable includes third-party or open-source components, those components remain under their own licenses. We may reuse general know-how, tools and code that are not specific to your business on other projects.

6. Your responsibilities

You agree to provide the access, content, product information, approvals and answers the scope depends on, in time for the work to proceed. Timelines on this website and in scopes are estimates that assume this. Third-party approvals, such as messaging registration, app-store reviews and business verification, can affect timing and are outside our control.

You are responsible for the content and data you provide and for having the right to use it. You are responsible for how your business uses the deliverables, including messages sent to your customers, which must follow the laws and carrier rules that apply to your business.

7. Support after delivery

Each project includes the post-delivery fixes described in its scope. After that, support is optional and is not a condition of owning what you paid for. Support is sold as prepaid packs of hours, currently ten hours for $1,000, used for maintenance and updates. New features are scoped and priced separately. There is no monthly retainer.

8. Warranties and limits

We perform the work with reasonable care and skill and correct defects in our own work that are reported within the period stated in the scope. Beyond that, deliverables are provided as is. We do not guarantee any particular business result, such as sales, bookings, rankings or time saved; results described on this website are those clients reported for their own projects.

To the extent permitted by law, First-Rate Tech's total liability for any claim arising from a project is limited to the amount you paid for that project, and we are not liable for indirect, incidental or consequential losses, including lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.

9. Using this website

The content of firstratetechcorp.com, including text, images and case studies, belongs to First-Rate Tech Corp. or is used with permission. You may read and share links to it. You may not copy, republish or use it commercially without written permission, and you may not interfere with the site, scrape it in bulk, or attempt to access anything you are not authorized to access.

Client names, screenshots and results shown on this site are published with the client's knowledge. Third-party names and trademarks belong to their owners.

10. Contact form and newsletter

Details you send through the contact form are used to reply to you. The newsletter is sent only to addresses that confirm their subscription, and every email includes a way to unsubscribe. How we handle personal data is described in the Privacy Policy.

11. Ending an engagement

Either of us may end a project in writing. You pay for work completed and costs committed up to that point, and you receive the work completed and paid for. Sections on ownership, warranties and limits continue to apply after a project ends.

12. General

These terms and any written scope are the whole agreement for the work described. If a scope and these terms conflict, the scope applies for that project. If any part of these terms cannot be enforced, the rest still applies. These terms are governed by the laws of the State of New York, and any dispute will be brought in the courts located in New York.

We may update these terms; the version on this page, with its effective date, is the one in force. Changes do not apply to a scope already approved.
